Terms of Service

These Terms of Service ("Terms") govern your use of the Easy D2C platform operated by E4A Partner Private Limited ("Easy D2C," "we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms.

1. Platform Description

Easy D2C is an e-commerce platform that enables sellers to create and operate direct-to-consumer online stores. The platform provides storefront hosting, order management, delivery intelligence, payment processing integration, and messaging services.

2. Account Registration

To use Easy D2C, you must create a seller account by providing accurate and complete information. The platform currently operates on an invite-only basis — account activation is subject to review and approval by Easy D2C. You are responsible for maintaining the confidentiality of your account credentials.

3. Seller Responsibilities

As a seller on Easy D2C, you agree to:

  • Provide accurate product information including descriptions, images, pricing, and availability
  • Comply with all applicable laws and regulations, including consumer protection laws, the Consumer Protection Act (2019), and the Information Technology Act (2000)
  • Fulfill orders in a timely manner and provide accurate tracking information
  • Not sell prohibited items including illegal goods, counterfeit products, or items that violate intellectual property rights
  • Respond to customer inquiries and handle returns and refunds in accordance with your stated policies
  • Comply with WhatsApp Business policies for messaging conducted through the platform

4. Platform Services

Easy D2C provides the following services:

  • Storefront Hosting: Customizable online store with product catalog, cart, and checkout
  • Delivery Intelligence: Order risk scoring and COD verification to reduce failed deliveries
  • Messaging: WhatsApp and SMS notifications for order updates and buyer communication
  • Payment Processing: Integration with payment gateways (PayU) for online payments and COD orders
  • Shipping Integration: Connection with logistics providers (Shiprocket) for order fulfillment

5. Fees and Payment

During the early access period, Easy D2C is offered free of charge. We reserve the right to introduce fees in the future with reasonable advance notice. Messaging costs (WhatsApp, SMS) are currently borne by the platform. Payment processing fees charged by third-party payment gateways are the responsibility of the seller.

6. Intellectual Property

Easy D2C retains all rights to the platform, including its design, code, features, and branding. Sellers retain ownership of their product content, images, and store data. By uploading content to the platform, sellers grant Easy D2C a license to display and distribute that content as necessary to operate the storefront.

7. Data and Privacy

Your use of the platform is also governed by our Privacy Policy. Customer data collected through your store is shared with you for order fulfillment purposes. You agree to handle customer data in compliance with applicable privacy laws.

8. Limitation of Liability

Easy D2C is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability shall not exceed the fees paid by you in the preceding 12 months. We are not responsible for disputes between sellers and buyers, shipping delays, or payment processing issues handled by third-party services.

9. Termination

Either party may terminate the use of the platform at any time. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or harm other users. Upon termination, you may request export of your store data within 30 days.

10. Modifications

We may modify these Terms from time to time. Material changes will be communicated via email or through the platform at least 30 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
